Terms of Service.

1. Agreement to these terms
These Terms of Service ("Terms") are an agreement between Innmotrix, Inc. ("Innmotrix", "we") and the organization or person using ConnXL ("you"). They cover the ConnXL dashboard, the ConnXL gateway software, the ConnXL add-in for Microsoft Excel, and related services (together, the "Service").
By signing in to or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" means that organization.
2. Accounts and federated sign-in
ConnXL accounts are created and accessed exclusively through federated sign-in with a supported identity provider — currently GitLab, Google, Microsoft, and LinkedIn. We never issue or store passwords. Your account is created automatically on first sign-in.
You are responsible for the security of your identity-provider account and for all activity under your ConnXL account. Organization administrators control which members may access their organization's workspace and may suspend or remove access at any time.
3. The service
ConnXL lets organizations define custom Excel functions in a dashboard and serve live data to those functions from connectors running inside their own network. We may improve, add, or remove features of the Service, and will give reasonable notice of changes that materially reduce its core functionality.
4. Your data stays yours
Query results served to Excel travel from your connectors through your gateway to your workbooks. ConnXL does not store, inspect, or retain the contents of query results.
We store only what is needed to operate the Service: your organization's configuration (functions, connections, users, and settings), operational metadata, and telemetry about how the Service is used, such as call counts, latency, and error codes. You retain all rights to your data and configuration, and grant us only the limited rights needed to operate the Service on your behalf.
5. Acceptable use
You agree not to:
- use the Service to violate law or the rights of others;
- probe, disrupt, or overload the Service or other customers' gateways;
- resell the Service or provide it to third parties as a service bureau;
- reverse engineer non-open components of the Service, except where the law permits;
- misuse credentials, tokens, or another organization's workspace.
We may suspend access that threatens the security or integrity of the Service.
6. Subscriptions and billing
Paid plans are billed in advance per billing period and renew automatically until cancelled. Fees are exclusive of taxes, which you are responsible for. Price changes take effect at your next renewal, with at least 30 days' notice. If an invoice remains unpaid 14 days after notice, we may suspend the Service until payment is received. Any free trial converts into a paid subscription automatically when the trial period ends if a payment method is on file; you may cancel at any time before the trial ends to avoid charges.
7. Intellectual property
Innmotrix owns the Service and all related intellectual property. You own your configuration and your data. If you send us feedback, we may use it without restriction or obligation. Open-source components included in the gateway are licensed under their own terms.
8. Third-party services
The Service works with software and platforms we do not control, including Microsoft Excel, Microsoft 365, and your chosen identity provider. Your use of those products is governed by their own terms, and we are not responsible for them. ConnXL is not affiliated with or endorsed by Microsoft.
9. Confidentiality and security
We protect connection secrets with encryption in transit and at rest, and expose them to your gateway only at execution time. Each party will protect the other's non-public information with at least reasonable care and use it only as needed to perform under these Terms.
10. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that results served through your connectors are accurate — your source systems remain your responsibility.
11. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Each party's total liability under these Terms is capped at the amounts you paid for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations or to a breach of Section 9.
12. Indemnification
You will defend and indemnify us against claims, damages, and reasonable legal fees arising from your misuse of the Service, your breach of these Terms, or your violation of law or a third party's rights. We will defend and indemnify you against third-party claims that the Service, as we provide it, infringes their intellectual property rights, and may at our option modify the Service, obtain a license for you, or refund fees paid for the period affected if continued use is not commercially reasonable.
13. Suspension and termination
You may stop using the Service and cancel at any time from the dashboard. We may terminate for material breach that remains uncured 30 days after notice, or suspend immediately for security threats or unlawful use. Upon termination, gateway tokens are revoked; you may export your configuration for 30 days, after which we delete it.
14. Changes to these terms
We may update these Terms from time to time. For material changes we will give at least 30 days' notice by email or in the dashboard. Continued use of the Service after a change takes effect constitutes acceptance.
15. Governing law
These Terms are governed by the laws of the jurisdiction in which Innmotrix is legally established, excluding its conflict-of-laws rules. Disputes arising from these Terms are subject to the exclusive jurisdiction of the competent courts of that jurisdiction, and each party consents to their venue.
16. General provisions
These Terms are the entire agreement between the parties about the Service and supersede prior discussions about it. If a provision is found unenforceable, the rest remain in effect, and a party's delay in enforcing a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or sale of assets. Neither party is liable for delay caused by events beyond its reasonable control. Notices to you may be sent to your account email or posted in the dashboard; notices to us should go to the contact address below.
